1. About Conifer

1.1 Conifer LLC ("Conifer") is a word and language tool designed to help users create, explore, and share word matrices ("Matrices"). The Service is offered worldwide.

1.3 These Terms form a legally binding agreement between you and Conifer. Please read them carefully.

2. Beta Program

2.1 The Conifer Beta App is a pre-release version of software provided for testing and evaluation only. It is not a final commercial product and may contain bugs, errors, incomplete features, or unexpected behavior.

2.2 Your participation in the Beta Program is voluntary. Conifer reserves the right to modify, suspend, or discontinue the Beta Program or your access to the Beta App at any time, with or without notice.

2.3 Conifer is constantly innovating to improve the Service. You acknowledge that the form, features, and nature of the Service may change from time to time without prior notice.

3. Accepting the Terms

3.1 By using the Service, you accept these Terms. You may not use the Service if you do not accept them.

3.2 You may not use the Service if (a) you are not of legal age to form a binding contract in your jurisdiction, or (b) you are legally prohibited from receiving or using the Service under applicable law.

4. Changes to These Terms

4.1 Conifer reserves the right to modify these Terms at any time, including to reflect changes to the law, regulatory requirements, or new features. Material changes will be communicated by email or notice within the Beta App. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.

5. Your Account

5.1 To access certain features of the Beta App, you will need to create an account. You must provide accurate and complete information when registering and keep your credentials secure and confidential.

5.2 You must notify us immediately of any unauthorized use of your account at support@conifermatrix.com.

5.3 You are solely responsible for all activity that occurs under your account, including by anyone who accesses the Service through your account.

5.4 Conifer reserves the right to disable your account at any time if, in our reasonable judgment, you have failed to comply with any provision of these Terms.

6. Subscriptions & Payments

6.1 Full access to Conifer features requires a paid subscription, available on a monthly or annual basis ("Subscription"). Subscription pricing will be disclosed to you at the time of purchase. During the beta period, some or all features may be made available free of charge or at a discounted rate at Conifer's sole discretion.

6.2 Payments are processed by Stripe, Inc. ("Stripe"). By purchasing a Subscription, you also agree to Stripe's Consumer Terms of Service and Privacy Policy.

6.3 Subscription fees are billed in advance on a monthly or annual cycle. Your Subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

6.4 Conifer is not responsible for errors or failures in Stripe's payment processing.

6.5 You acknowledge that your experience of the Service and its pricing may differ from that of other users as part of our ongoing testing and pricing development.

7. License Grant

7.1 Conifer grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Beta App for your personal, non-commercial purposes during the Beta Program. This license does not include any right to sublicense, sell, transfer, or otherwise commercially exploit the Beta App.

8. General Restrictions on Use

8.1 You agree not to:

• Copy, modify, or create derivative works based on the Beta App or any of its content;
• Reverse engineer, decompile, or disassemble any portion of the Beta App;
• Distribute any part of the Beta App or Service without our prior written authorization;
• Access the Service through automated means (bots, scrapers, spiders) beyond normal human usage;
• Circumvent, disable, or interfere with security features of the Service;
• Collect or harvest personal data of any other user of the Service;
• Use the Service for any commercial purpose without our prior written approval;
• Use the Service to transmit any unlawful, harmful, or objectionable content;
• Attempt to gain unauthorized access to any portion of the Service or related systems;
• Use the Service in any way that violates applicable local, national, or international law.

8.2 You are solely responsible for any breach of these obligations and for any resulting consequences.

9. Word Matrices & the Public Library

9.1 Users may create word Matrices using the tools provided by the Service. Matrices may be kept private or contributed to the public Conifer Library ("Library").

9.2 Library Ownership. Any Matrix you submit or publish to the Library becomes the property of Conifer. You grant Conifer a perpetual, irrevocable, royalty-free, worldwide license to use, display, distribute, reproduce, and create derivative works from Matrices in the Library in connection with the Service and Conifer's business. This ownership and license survives account closure. Matrices in the Library will remain available even if you close your account.

9.3 Mature & User-Generated Content. Matrices in the Library are created by users worldwide. Some Matrices may contain words, phrases, or themes that are intended for adult audiences or that some users may find inappropriate. Conifer does not pre-screen, review, or moderate every Matrix submitted to the Library. Conifer is not responsible for the content of user-created Matrices, including any words, language, or themes that adults may consider inappropriate for children or that users may find objectionable. Parents and guardians are responsible for supervising minors' use of the Service.

9.4 Conifer reserves the right, but has no obligation, to remove Matrices that violate these Terms, applicable law, or community standards, at any time without notice.

9.5 You retain ownership of Matrices you create that are not contributed to the Library. However, by using the Service you grant Conifer a license to host and display those Matrices to you through the Service.

10. User Content

10.1 You are solely responsible for all content you submit to the Service and the consequences of posting it. Conifer does not endorse any user content and expressly disclaims liability in connection with it.

10.2 You represent and warrant that you have all rights, licenses, and permissions required to submit your content and to grant Conifer the rights described herein.

10.3 You agree not to submit content that is unlawful for you to possess or that would be unlawful for Conifer to use in connection with the Service.

10.4 You agree not to submit content containing third-party copyrighted material unless you have a license or legal right to do so.

11. Feedback

11.1 You may provide Conifer with suggestions, comments, bug reports, or other feedback about the Beta App ("Feedback"). You grant Conifer a perpetual, irrevocable, royalty-free, worldwide license to use and incorporate your Feedback into its products and services without any obligation to you.

12. Confidentiality

12.1 Non-public features, pricing, roadmap information, and other information provided in connection with the Beta Program are confidential. You agree not to disclose such information to third parties without Conifer's prior written consent. This obligation does not apply to information that becomes publicly known through no breach of these Terms.

13. Prohibited Content

13.1 Regardless of the nature of the content (Matrices or otherwise), you must not upload, share, or generate the following on the Service:

• Pornographic or sexually explicit content;
• Content that encourages, promotes, or provides instructions for suicide or self-harm;
• Content promoting eating disorders or related harmful behaviors;
• Content inciting hatred based on race, religion, sex, sexual orientation, disability, or gender identity;
• Content promoting or providing instructions for serious violence against any person or animal;
• Bullying or harassment;
• Content depicting graphic violence or serious injury in a realistic manner;
• Content encouraging dangerous stunts likely to cause serious injury;
• Anything illegal under applicable federal, state, or local law.

13.2 You can report prohibited content by contacting us at support@conifermatrix.com. Conifer will promptly review and, where appropriate, remove reported content.

14. Children & Child Safety

14.1 The Beta App is intended for users 13 years of age or older. Users under 18 should use the Service only with the involvement and consent of a parent or guardian, who accepts responsibility for ensuring the minor's use complies with these Terms and applicable law.

14.2 Because the Library contains user-generated content, including content that may not be suitable for all ages, parental supervision is strongly recommended for minor users.

14.3 Conifer will promptly remove child sexual exploitation and abuse content and any other content harmful to minors upon becoming aware of it. To report such content, contact us at support@conifermatrix.com.

15. Copyright Policy

15.1 Conifer respects the intellectual property rights of others. If you believe content on the Service infringes your copyright, please contact us at support@conifermatrix.com.

15.2 Conifer will terminate access for users determined to be repeat infringers.

16. Privacy & Data

16.1 Your use of the Beta App is subject to our Privacy Policy, incorporated into these Terms by reference. During the Beta Program, Conifer may collect usage data, crash logs, and diagnostic information to improve the product.

16.2 We do not sell your personal information to third parties. We handle all personal data in compliance with applicable privacy laws in the jurisdictions where we operate.

17. Third-Party Links

17.1 The Service may include links to third-party websites not controlled by Conifer. Conifer assumes no responsibility for such sites' content, privacy policies, or practices and does not endorse them. We encourage you to review the terms and policies of any third-party site you visit.

18. Security

18.1 Conifer does not guarantee that the Beta App will be secure or free from bugs or viruses. You are responsible for using your own security software and maintaining secure devices.

18.2 You must not misuse the Service by introducing malware, viruses, or other harmful code, or by attempting unauthorized access to the Service or its systems. Such actions may constitute a criminal offense under applicable law.

19. Intellectual Property

19.1 The Beta App, including all software, interfaces, graphics, and design, is owned by Conifer or its licensors. These Terms do not transfer any intellectual property rights to you.

19.2 "Conifer" and all related logos and marks are trademarks of Conifer. You may not use them without our prior written approval.

20. Disclaimer of Warranties

20.1 THE BETA APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, CONIFER EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

20.2 CONIFER DOES NOT WARRANT THAT THE BETA APP WILL BE SECURE, ERROR-FREE, OR AVAILABLE AT ANY PARTICULAR TIME, OR THAT DEFECTS WILL BE CORRECTED.

21. Limitation of Liability

21.1 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONIFER, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE BETA APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

21.2 OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF FIFTY U.S. DOLLARS ($50.00) OR THE TOTAL AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

22. Indemnification

22.1 You agree to indemnify, defend, and hold harmless Conifer and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Beta App; (b) content you submit; (c) your violation of these Terms; or (d) your violation of any third-party rights.

23. Term & Termination

23.1 These Terms take effect when you first access the Beta App and continue until terminated.

23.2 To terminate your agreement, notify us in writing at support@conifermatrix.com and stop using the Service. Note that Matrices you have contributed to the Library will remain per Section 9.2.

23.3 Conifer may terminate your access at any time if: (a) you have breached these Terms; (b) required by law; or (c) Conifer determines that continuing to provide the Service to you is no longer commercially viable. Where reasonably possible, Conifer will provide advance notice.

23.4 Sections 9.2, 10, 11, 12, 15, 19, 20, 21, 22, and 24 survive termination.

24. Governing Law & Disputes

24.1 These Terms are governed by the laws of the State of Washington, U.S.A., without regard to its conflict-of-law principles, regardless of where you access the Service from.

24.2 Any dispute arising under these Terms shall be resolved in the state or federal courts located in King County, Washington. You consent to the personal jurisdiction of such courts. Nothing in these Terms limits Conifer's right to seek injunctive or other equitable relief in any court of competent jurisdiction.

25. General

25.1 These Terms, together with our Privacy Policy, constitute the entire agreement between you and Conifer regarding the Beta App.

25.2 Conifer's failure to enforce any right or provision is not a waiver of that right or provision.

25.3 If any provision is found unenforceable, the remaining provisions continue in full force.

25.4 Conifer may transfer its rights and obligations under these Terms to another organization and will notify you in writing if this occurs.

25.5 You may not assign your rights under these Terms without Conifer's prior written consent.

25.6 No third party shall be a beneficiary of these Terms.
